1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and Perkio Technology Group, LLC ("we", "us", "our"), the operator of the Tractornuity platform ("Service"). By creating an account, accessing the Service, or clicking a button indicating acceptance, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization (for example, a household, farm, or business entity), you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. The Service is intended for owners and operators of outdoor power equipment (such as tractors, mowers, generators, chainsaws, UTVs, and attachments) and for businesses serving them.
3. Accounts and Entities
3.1 User accounts
To use most features, you must create a user account with a valid email address and password, or sign in via a supported third-party identity provider (such as Google, Microsoft, or Apple). You are responsible for keeping your credentials confidential and for all activity under your account.
3.2 Entities
The Service organizes equipment, service records, and members under "entities," typically a household, small farm, or business. Each entity has one Head of Entity ("HoE") with owner-level permissions, and may add additional members in roles such as Fleet Manager, Operator, or Viewer.
3.3 Member roles and responsibilities
The HoE is responsible for inviting and removing members and for billing decisions. Members are responsible for the accuracy of data they enter and for using the Service in accordance with these Terms.
3.4 Email verification
We require email verification for new email/password sign-ups before you can access most features. Accounts created via supported third-party identity providers are treated as pre-verified.
4. Subscription Plans, Free Tier, and Billing
4.1 Tiers
We offer a free tier and paid tiers ("Plus" and "Fleet"). Each tier has limits on the number of machines, attachments, and members, and on whether advertising is shown. Current limits, functionsand prices are published on our pricing page and may be updated from time to time.
4.2 Free tier
The free tier is supported by advertising and is capped to a limited number of machines and attachments. Free-tier accounts may see advertising units, including third-party network advertising, served alongside the Service.
4.3 Paid plans
Paid subscriptions are billed in advance through Stripe, our payment processor. We do not store your full payment card details on our servers; payment information is handled by Stripe under their terms and privacy policy.
4.4 Renewals, cancellations, and refunds
Paid subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; access continues through the end of the current paid period. Except where required by applicable law, fees already paid are non-refundable.
4.5 Price and feature changes
We may change prices or feature limits with reasonable advance notice (typically by email and via the Service). Changes do not apply to the current paid period for which you have already been billed.
5. Acceptable Use
You agree not to:
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload or transmit content that infringes intellectual property, privacy, or other rights of any third party;
• Attempt to bypass security, rate limits, or access controls,;
• Attempt to gain unauthorized access to other users’ entities, accounts, or data;
• Use automated tools to scrape, crawl, or harvest data from the Service except as expressly permitted;
• Reverse engineer the Service, except to the extent such restriction is prohibited by applicable law;
• Resell, white-label, or otherwise commercially exploit the Service without a written agreement with us;
• Submit content that is defamatory, harassing, or that promotes violence or discrimination;
• Submit knowingly false or misleading information about equipment, recalls, or safety bulletins.
6. Your Content
6.1 Ownership
You retain ownership of the content you submit to the Service ("Your Content"), including machine details, photos, usage logs, service records, and warranty information. You permit Us to use this information to aggregate data within the terms of our Privacy Policy.
6.2 License to operate the Service
You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, modify, and create technical derivatives of Your Content solely as needed to operate, secure, support, and improve the Service for you and your entity.
6.3 Library content and bulletins
The Service includes a curated library of manufacturers, models, service schedules, and TractorNuity Bulletins ("TNBs"). This library is provided for informational purposes and convenience. We do not guarantee its completeness or accuracy, and bulletin matching is not a substitute for following manufacturer-issued recall and service notices directly.
6.4 Feedback
If you submit ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
7. Advertising
Accounts may see advertising. We may serve advertising directly, or through third-party advertising networks (such as Google AdSense). Where required by law, we ask for your consent to advertising-related cookies and to personalized advertising; see our Cookie Policy and Privacy Policy.
8. Affiliate Program
We operate an affiliate program. Participation is governed by separate affiliate program terms accepted at the time of enrollment. Self-referrals and other forms of fraudulent activity are prohibited and may result in forfeiture of commissions and termination of the affiliate account.
9. Demo Mode
The Service includes a public, read-only "demo" experience populated with a sample entity. Data shown in demo mode is illustrative only and does not represent any real customer.
10. Third-Party Services
The Service integrates with third-party services for payment (Stripe), email delivery (Resend), identity (Google, Microsoft, Apple), advertising (e.g., Google AdSense), and hosting and infrastructure providers. Your use of such services through Tractornuity is subject to those providers’ terms and privacy notices in addition to ours.
11. Intellectual Property
We and our licensors own all rights in and to the Service, including the TractorNuity name, logo, software, design, and library content (other than data that is in the public domain or that you contribute). No rights are granted to you except as expressly stated in these Terms.
12. Suspension and Termination
12.1 By you
You may stop using the Service at any time and delete your account from the account settings.
12.2 By us
We may suspend or terminate your access if you materially breach these Terms, if your use poses a security or legal risk, if your payment fails after reasonable notice, or if we discontinue the Service or a feature.
12.3 Effect of termination
Upon termination, your right to use the Service ends. We may retain backup copies and data needed for legitimate business purposes (such as fraud prevention, accounting, or legal compliance) for a reasonable period, as described in the Privacy Policy.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Equipment maintenance, recall information, and bulletins surfaced by the Service are provided for informational purposes. YOU ARE SOLELY RESPONSIBLE FOR THE SAFE OPERATION, INSPECTION, AND MAINTENANCE OF YOUR EQUIPMENT, AND FOR FOLLOWING MANUFACTURER INSTRUCTIONS AND APPLICABLE SAFETY REGULATIONS. THE SERVICE IS NOT A SUBSTITUTE FOR A QUALIFIED TECHNICIAN, DEALER, OR MANUFACTURER GUIDANCE. OPERATING EQUPIMENT IS DANGEROUS AND SAFE OPERATION OF ANY EQUIPMENT IS THE SOLE RESPONSIBILTY OF THE OPERATOR.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.).
15. Indemnification
You will indemnify, defend, and hold harmless us and our officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) Your Content, (c) any damages and/or injuries related from proper or improper use of any machinery or (d) your violation of any law or third-party rights.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Montgomery County, Pennsylvania, USA, and you consent to personal jurisdiction there.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email and/or in-product notice. The "Effective date" above will reflect the latest version. Continued use of the Service after the effective date of an update constitutes acceptance.
A version log of these Terms is maintained inside the Service; you may be prompted to re-accept on next sign-in after a material change.
18. Miscellaneous
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
